Terms of Sale (CGV)

These Terms of Sale (CGV) govern the contractual relationship between Devdigital and its clients within the scope of its service provision. Any order implies unconditional acceptance of these Terms of Sale.

1. Service Provider Identification

2. Purpose

These Terms of Sale aim to define the rights and obligations of Devdigital and its clients in the context of providing:

  • digital services (web development, design, SEO, content management, etc.),
  • support and consulting services,
  • associated digital services and solutions.

3. Quote and Order

Each service is subject to a detailed quote sent to the Client for validation. The quote is valid for 30 days from its issue date, unless otherwise stated.

The order is confirmed upon written validation (quote signature, email confirmation, deposit payment, etc.).

Any confirmed order is considered firm and final.

4. Financial Conditions and Payment

4.1 Prices

Service prices are indicated in CFA Francs (XOF) or Euros (EUR), according to the terms of the quote.

They are expressed excluding taxes, unless explicitly stated otherwise. Any applicable tax will be added to the final price.

4.2 Payment Terms

Payments are made according to the following terms:

  • A deposit of 50% upon order confirmation,
  • The balance of 50% upon delivery or online publication of the project.

Accepted payment methods: bank transfer, mobile money, or any other method agreed between the parties.

Any late payment may result in suspension of the service in progress, without prejudice to other remedies available to Devdigital.

Late payment penalties may be applied in accordance with applicable legislation.

5. Intellectual Property and Reservation of Ownership

Creations, developments and content produced by Devdigital remain its exclusive property until full payment of the agreed price.

Upon full payment, usage rights are transferred to the Client within the framework strictly defined by the contract or quote.

Devdigital reserves the right to use completed work for its own portfolio, unless the Client requests otherwise in writing.

6. Delivery Times

Delivery times communicated are indicative and may vary depending on project complexity, Client responsiveness and the provision of necessary materials (texts, images, access, etc.).

Devdigital strives to meet announced deadlines but cannot be held liable for delays caused by events beyond its control or lack of cooperation from the Client.

7. Cancellation and Termination

7.1 Cancellation by the Client

In case of order cancellation by the Client after quote validation:

  • If the service has not started, 30% of the deposit paid remains acquired by Devdigital.
  • If the service is in progress, the Client must pay for the portion already completed, assessed on a pro-rata basis.

7.2 Termination by Devdigital

Devdigital reserves the right to terminate any contract in case of:

  • total or partial non-payment,
  • serious breach of the Client's obligations,
  • suspicion of fraud, money laundering or illegal activity.

8. Client Obligations

The Client agrees to:

  • provide Devdigital with all information, documents and access necessary for service delivery,
  • respond within reasonable timeframes to validation or feedback requests,
  • comply with applicable laws and regulations in using the services provided,
  • guarantee that funds used for payment originate from lawful sources.

9. Liability

Devdigital strives to provide quality services meeting professional standards. However, its liability is limited to the total amount of the service concerned.

Devdigital cannot be held liable for:

  • indirect damages (loss of revenue, missed opportunities, etc.),
  • delays attributable to the Client or third parties,
  • fraudulent or illegal use of deliverables by the Client,
  • issues related to hosting, domain names or third-party services chosen by the Client.

10. Force Majeure

Devdigital cannot be held liable for any delay or failure resulting from a force majeure event under applicable case law (natural disaster, war, pandemic, general Internet outage, etc.).

11. Personal Data

Personal data collected within the contractual relationship is processed in accordance with Devdigital's Privacy Policy.

The Client has the right of access, rectification, objection and deletion of their personal data, which they can exercise at any time by writing to: contact@devdigitale.com

12. Applicable Law and Jurisdiction

These Terms of Sale are governed by applicable law in the Republic of Benin.

In the event of a dispute, and after seeking an amicable solution, exclusive jurisdiction is attributed to the competent courts of the Republic of Benin.

13. Acceptance

Validation of a quote, signing of a contract or payment of a deposit constitutes full and complete acceptance of these Terms of Sale.

Devdigital reserves the right to modify these Terms of Sale at any time. The applicable terms are those in force at the date of the order.
